Welcome to CloserflowAI. These Terms of Service govern your access to and use of our website, products, and services. By accessing or using the website, purchasing a plan, or engaging with our team, you agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree with these Terms, please discontinue use immediately.

CloserflowAI provides AI-driven lead response, content production, virtual assistance, customer relationship management (CRM) integration, and real estate lead-generation and appointment-setting services to businesses and professionals. All Services are delivered online or through remote communication unless otherwise stated in a written agreement.

You must be at least 18 years old and legally capable of entering into binding contracts in your jurisdiction. By using the Services, you confirm that:

• All information you provide is accurate and complete;
• You are using the Services for lawful business purposes;
• You are not prohibited from using the Services under any applicable laws.

To access certain Services, you may be required to create an account. You are responsible for:

• Maintaining the confidentiality of your login credentials;
• Restricting access to your account;
• All activities that occur under your account.

CloserflowAI reserves the right to suspend or terminate your account if any information is inaccurate, misleading, or violates these Terms.

CloserflowAI provides the following categories of services:

1. Marketing & Lead Generation: Campaign setup, lead sourcing, digital outreach, and conversion assistance.
2. AI & Virtual Assistance: Automated inbound response, qualification, follow-up, and operational support for businesses.
3. CRM Services: Setup, integration, and management of customer relationship platforms.
4. Content & Appointment Setting: Content production, strategy sessions, and human appointment setting.

Specific deliverables, timelines, and costs are outlined in each client proposal or plan purchased through the website.

• All payments are processed securely via third-party gateways such as Stripe or PayPal.
• Prices are displayed in USD (or local currency where applicable) and are exclusive of applicable taxes.
• By submitting payment information, you authorize CloserflowAI to charge your account for the selected plan or subscription.
• Subscriptions may auto-renew unless canceled in accordance with the Cancellation Policy.

CloserflowAI reserves the right to adjust pricing, introduce new charges, or modify billing frequency with prior notice to active customers.

Cancellations are governed by the Cancellation Policy, which forms part of these Terms.

• CloserflowAI does not operate a refund program. Fees paid are non-refundable except where a refund is required by applicable law.
• You may cancel a subscription at any time in accordance with the Cancellation Policy; cancellation takes effect at the end of the current billing cycle.
• Setup fees, customization, onboarding, and partial-period usage are non-refundable.

You agree to:

• Provide all necessary information and materials required for CloserflowAI to perform the Services;
• Respond to communications promptly to avoid delays;
• Not misuse or resell the Services without authorization.

CloserflowAI is not responsible for performance delays caused by inaccurate information, lack of cooperation, or third-party system failures.

Users shall not:

• Use the website or Services for any illegal or fraudulent activity;
• Interfere with or disrupt website operations or servers;
• Copy, modify, or reverse-engineer any software or content from CloserflowAI;
• Engage in spam, data scraping, or unauthorized outreach using CloserflowAI tools.

Violation of these restrictions may result in suspension or legal action.

All intellectual property rights, including trademarks, copyrights, designs, logos, and software, belong to CloserflowAI or its licensors. You may not copy, reproduce, distribute, or commercially exploit any content without prior written consent.

You retain ownership of any data or materials you provide, but grant CloserflowAI a limited, non-exclusive license to use such materials solely for delivering the contracted Services.

CloserflowAI agrees to treat all client data, business information, and communication as confidential and not disclose it to any third party except:

• Where required by law;
• To subcontractors or partners assisting in service delivery under confidentiality agreements.

Clients likewise agree not to disclose proprietary information about CloserflowAI or its operations.

CloserflowAI complies with GDPR (UK/EU), PIPEDA (Canada), and CCPA (California) regarding the collection and processing of personal data. Use of the Services is subject to the Privacy Policy, which explains how data is collected, stored, and processed.

All Services are provided "as is" and "as available." CloserflowAI does not guarantee:

• Specific business results, revenue increases, or conversion rates;
• Uninterrupted access to the website or Services;
• Compatibility of Services with all third-party systems.

You acknowledge that results may vary based on external factors such as client responsiveness, market conditions, and campaign execution.

To the fullest extent permitted by law:

• CloserflowAI is not liable for any indirect, incidental, consequential, or punitive damages;
• Total liability under any claim shall not exceed the total fees paid by the client for the Services in question;
• CloserflowAI is not responsible for losses caused by client negligence, third-party service providers, or events beyond our control (e.g., outages, cyberattacks, natural disasters).

You agree to indemnify and hold harmless CloserflowAI, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms;
• Your misuse of the Services; or
• Violation of applicable laws or third-party rights.

The website may contain links to third-party websites or services. CloserflowAI is not responsible for the content, security, or policies of any external sites accessed through the platform.

CloserflowAI may suspend or terminate your account or Services if:

• You violate these Terms;
• Payment is overdue;
• Fraudulent or abusive activity is detected.

Upon termination, all outstanding payments become immediately due.

CloserflowAI reserves the right to update or modify these Terms at any time. Updated Terms will be posted on this page with a new "Effective Date." Continued use after changes constitutes acceptance of the new Terms.

These Terms shall be governed and construed in accordance with the laws of:

• The United States, if you are based in the US;
• The United Kingdom, if you are based in the UK;
• Canada, if you are based in Canada.

Any disputes shall be resolved exclusively in the competent courts of the relevant jurisdiction.

20.1 Program description and message types

If you provide your mobile number and expressly opt in on our forms, CloserflowAI may send you recurring text (SMS/MMS) messages. We collect two separate, optional consents: transactional messages and marketing messages. Depending on which you opt into, you may receive some or all of the following:

• Transactional: account alerts, appointment reminders, confirmations, service and status notifications, and customer-care replies.
• Marketing / promotional: offers, product news, and other promotional messages about CloserflowAI.

Providing a phone number alone does not enroll you in text messages. Consent is granted only by checking the relevant box, and neither box is required to submit a form or to use our services.

20.2 Message frequency, and message and data rates

Message frequency varies and depends on your activity and the categories you opted into. CloserflowAI does not charge for the messages themselves, but message and data rates may apply according to your mobile carrier plan.

20.3 How to get help and how to opt out

Reply HELP to any message for help, or contact us at support@closerflow.co. You can cancel the SMS service at any time by replying STOP to any message. After you send STOP, we will send a single confirmation message and then stop sending you SMS messages; to opt back in, sign up again as you did originally.

20.4 Carrier liability disclaimer

Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and is outside CloserflowAI's control.

20.5 Eligibility and privacy

You must be at least 18 years old to consent to receive text messages from us. Mobile numbers and SMS consent are handled in accordance with our Privacy Policy and are never shared with third parties for their own marketing; they are disclosed only to the messaging providers that deliver the messages you requested.
